Carlos Facha
Chief General Counsel, IDEAL (Impulsora del Desarrollo y el Empleo en América Latina)
Legal chapter
Carlos Facha is Chief General Counsel at IDEAL, where he is building the legal and deal infrastructure for a Mexican industrial group moving into upstream oil and gas. His argument is that certainty is not coming, so competence has to travel without it.

01What you're building
What are you building right now, and what does it make possible that wasn't possible before?
I'm building the legal and deal-execution infrastructure that lets a Mexican industrial group compete as a serious, credible player in the upstream oil and gas assets, a role that barely existed for private domestic capital before the energy reform reopened. That means standardizing how we run diligence and structure farm-ins, CEEs, JOAs and SPAs across several live acquisitions at once, instead of reinventing the process every time, all while the regulatory map itself is still being redrawn, with SENER absorbing what used to be CNH's functions. What it makes possible: five years ago, a company like ours moving fast and confidently into complex, multi-party upstream positions wasn't realistic without a much larger internal team or total reliance on outside counsel. Institutionalizing it means we can now evaluate and close deals that used to be the exclusive territory of international majors.
02What it took
What did it take to get here that people don't see?
Discipline. Showing up prepared for the negotiation nobody sees you preparing for, reading the same contract for the fifth time to catch what you missed the first four. But more than that, a mindset: always look for the yes, not the no. Anyone can find reasons a deal can't close or a structure won't work; that's the easy read. The harder, less visible work is being the person in the room who finds the path through, who comes with solutions instead of objections. Be a problem solver, not a problem maker. That's what doesn't show up in the deal announcement or the closing dinner (i.e., the hundred small moments where you chose to build a bridge instead of pointing out why one couldn't be built).
03Who carried you
Who carried you, and what did they teach you that you still use every week?
My family, always. Not through any single lesson delivered at the right moment, but through the day-to-day example of resilience: showing up, adapting, absorbing setbacks without letting them define the outcome. That's what I carry into every negotiation and every deal that looks impossible until suddenly it isn't: the discipline to stay steady when the ground shifts, because that's what I watched them do first, and that's what I like for them to see about me.
04For the leader coming up
What is the one thing you'd tell the leader coming up behind you?
Never surrender. Don't wait for the regulatory framework to be settled before you build your process. In a market like Mexico's energy sector, the rules will keep shifting, and the legal teams that win are the ones who build repeatable systems anyway, and adjust them as the ground moves. Certainty is not coming; competence has to travel without it. You have to be efficient.
Certainty is not coming; competence has to travel without it.
05Adelante
Adelante means forward. Where are you taking your function, your company, or your industry next?
Forward for me means to keep pushing and doing things efficiently. Turning my legal function from a deal-by-deal support role into a standing institutional capability, one that can hold operating and non-operating interests, run cross-border structuring, and manage multi-jurisdictional deals as routine. For the industry, it means proving that Mexican capital can be a durable, sophisticated counterparty in upstream oil and gas: not just a participant in the reform, but one of the players shaping what the next phase of it looks like.
